REQUEST FOR CONSTITUTION REVIEW AND RELATED PARTY TRANSACTIONS CONSULTANCY

Widows and Orphans Empowerment Organisation (WEWE, is soliciting for quotes from reputable Law Firms to provide Constitution Review Consultancy and Related Party Transaction Consultancy :

a) Constitution Review Consultancy . The successful firm must have prior knowledge to develop non-governmental organisation (NGO) or association Constitution and strong capacity to build NGO’s governance structure and controls.

The amended Constitution is expected to govern the corporate governance structure of WEWE and regulate the relationship between the Board of Trustees and the organisation’s management team.

b) Related Party Transaction Consultancy . The successful firm must have prior knowledge to conduct due diligence AND strong capacity to audit WEWE’s procurement database to ensure that WEWE vendors and suppliers are not businesses related to any employee, member of the Board of Trustees, or management of WEWE in line with WEWE’s Conflict of Interest Policy.

Widows and Orphans Empowerment Organisation (WEWE) is a renowned not-for-profit NGO founded in 2004 with headquarters in Abuja.

WEWE is currently managing two large grants with direct funding from USAID, providing services for over 70,000 orphans and vulnerable children (OVC) and over 20,000 caregivers in Nigeria with 7 services : education, health, psychosocial care, protection, shelter, nutrition and food security and household economic strengthening in line with the National Standards for Improving the Quality of Life of Vulnerable Children in Nigeria.

WEWE also is involved in developing the financial, procurement, organizational and fundraising capacity of other local NGOs.

  • WEWE has grown from managing an income of $6,000 / annum in 2005 to over $2million US dollars / annum in 2017. It has also grown from just 3 staff in 2004 to over 70 staff in 2018;
  • and from working in a few communities in Imo State, to working in over 150 communities in 5 states : Akwa Ibom, Anambra, FCT, Imo and Rivers State respectively.

  • PRELIMINARY SCOPE OF WORK

  • Review WEWE Constitution to reflect recent changes in, and recent resolutions of the WEWE Board of Trustee tailored towards a not-
  • for-profit organization and in conformity with the international best practices, Nigerian corporate legal requirements and trends;
  • and also taking into consideration WEWE’s organisational peculiarities.

  • Review WEWE’s Procurement files, WEWE’s pre-qualified or pre-registered vendors list to ensure that none of the directors, shareholders, employees or relatives of the vendors are related to any WEWE staff, management, or Board of Trustees.
  • QUALIFICATIONS AND REQUIREMENTS

  • The law firm must be registered with the Corporate Affairs Commission.
  • Evidence of Tax Identification Number (TIN)
  • Proven history of consultancy or retainership with local non-governmental organisations, associations, or companies limited by guarantee.
  • Proven expertise in developing and reviewing Constitution, or Governing Documents for associations or companies.
  • The managing partner thereof must have at least 10-years’ post Call to the Bar experience in Nigerian legal practice.
  • Experience in conducting due diligence and corporate searches.
  • ESTIMATED CONSULTANCY DURATION

  • The consultancy is estimated to run a duration of 3 weeks.
  • CONSULTANCY FEE RATE

  • Fixed Fee (Negotiable)
